Terms & Conditions.
The scope of our services, our obligations and the client's, the service level, and limits of liability at Reef Solutions.
1. Definitions
"The Company": Reef Solutions — the software division of Reef Value. "The Client": any natural or legal person requesting our services. "The Service": what is described on the website pages, in the quotation, or in the written agreement.
2. Acceptance
By using the site or requesting any service, the client is deemed to have accepted these terms and the privacy policy.
3. Scope of Services
The Company provides the Reefai platform for enterprise systems, custom-built systems, mobile applications, and integration services. The scope of each project is defined in a quotation or written agreement covering deliverables, license duration, and deployment environment.
4. The Company's Obligations
- Performing the service with professional care and in accordance with applicable regulations.
- Informing the client of their application's status and any additional requirements as they arise.
- Maintaining the confidentiality of the client's data and information.
5. The Client's Obligations
- Providing clear requirements and the data needed to deliver the project.
- Using the systems within the agreed license limits and not reselling or reverse-engineering them.
- Responsibility for the accuracy and legality of the data entered into the systems.
6. Fees & Payment
Fees are set out in the quotation or agreement. They are paid on the agreed schedule and do not include any government fees or third-party licenses unless explicitly stated.
7. Service Level
We commit to a service level defined in each system's agreement (support response time, and uptime for systems we host). Scheduled maintenance downtime is notified in advance.
8. Intellectual Property
The site's content, our marketing materials, systems, and code are the Company's property and may not be copied or republished without written permission. The client's data and content remain their own.
9. Limitation of Liability
The Company does not warrant that the software is free of every defect, and commits to resolving faults within the agreed service level; it is not liable for data entered by the client or for third-party service outages, and in all cases its liability is limited to the fees paid for the service in dispute.
10. Confidentiality & Data Protection
The client's data and documents are treated with complete confidentiality under the Privacy Policy and the Personal Data Protection Law.
11. Force Majeure
The Company is not deemed in breach of its obligations if performance becomes impossible for reasons beyond its control.
12. Governing Law
These terms are governed by the laws of the Kingdom of Saudi Arabia, and the courts of Riyadh have jurisdiction over any dispute. To contact us: solutions@reefvalue.sa.
